Vorda legal
Subscription, Trial, Cancellation, and Refund Disclosure
This draft is not effective and is not a checkout offer. Vorda does not currently have a verified public self-serve Checkout flow. Prices, trials, taxes, cancellation, refunds, and plan effects must match Stripe before any charge is taken.
1. Checkout is the purchase record
If a checkout does not display these details, do not complete it. Marketing prices are not charge authorisation.
- The plan and material included features.
- Exact price, currency, billing interval, quantity, and tax treatment.
- Any trial, first charge date, conversion price, and renewal timing.
- Effective Terms, this Disclosure, Privacy Notice, and support contact.
2. Recurring authorisation
Completing a recurring checkout will authorise Stripe to charge the displayed amount and interval, plus applicable taxes, until cancellation. [FINAL TERMS MUST STATE RETRY, DUNNING, FAILED-PAYMENT, GRACE-PERIOD, AND DOWNGRADE BEHAVIOUR.]
3. Trials, renewals, and price changes
No trial or promotion applies unless checkout states it. The checkout must show conversion timing and price. Material price increases should receive reasonable advance notice and an effective date; they will not be inferred only from a website update.
4. Cancellation
The account owner or authorised administrator should be able to cancel through Stripe's Customer Portal when configured. [CONFIRM cancel_at_period_end AND PORTAL SETTINGS.] Cancellation of billing does not close Provider positions or cancel Provider-side orders.
5. Refunds and consumer remedies
[COUNSEL AND STRIPE OPERATIONS MUST SELECT THE ORDINARY REFUND RULE, COOLING-OFF OR WITHDRAWAL RIGHTS, PARTIAL-PERIOD TREATMENT, ERRONEOUS CHARGE PROCESS, AND OUTAGE REMEDY.]
Nothing may exclude a guarantee, refund, compensation, or other remedy that cannot be excluded under the Australian Consumer Law or applicable law.
6. Taxes
Checkout must state whether taxes are included or added. Australian GST, customer location, business tax IDs, and other registration or collection duties require review before broad checkout.
7. Entitlements and Live execution
Upgrades, downgrades, proration, credits, and entitlement timing must match Stripe and product configuration. Loss of a paid entitlement may block new Live entries or activation but does not guarantee closure of positions or cancellation of Provider orders.
8. Release gate
- Confirm entity, ACN/ABN, address, support email, and Stripe profile.
- Confirm prices, currencies, intervals, trials, taxes, dunning, cancellation, refunds, and entitlements.
- Publish effective legal versions and acceptance evidence.
- Complete Australian Consumer Law and launch-market review.
- Test checkout, webhook, portal, renewal, cancellation, failure, refund, entitlement change, and Live-execution effects.
